Grant versus cooperative agreement

Both a grant and a cooperative agreement transfer money to accomplish a public purpose. Neither buys anything for the government's own use. That would be a procurement contract, which is a different legal instrument with different rules.

The difference between them is SUBSTANTIAL INVOLVEMENT. Under a grant the agency funds you and steps back, monitoring but not directing. Under a cooperative agreement the agency participates: approving work plans, sitting on steering committees, collaborating on the technical work, signing off on decisions before you proceed.

That involvement is defined in the notice and it is real. A cooperative agreement can mean an agency scientist as a working collaborator, agency approval before a study design changes, or agency concurrence on subawards. Organisations that skim past the instrument type are surprised by how much oversight arrives with the money.

It cuts both ways. Substantial involvement means access (to expertise, data, facilities and networks that no European grant offers) and a relationship with the agency that outlasts the award. For a first US project it can be more valuable than the money.

The reporting and cost rules are identical either way: both are federal financial assistance, both sit under the Uniform Guidance, both count towards the single audit threshold. Only the working relationship differs.
